Welcome to OpenDream Upscale, a platform provided by OpenDreamnet S.A.S. de C.V. (“OpenDreamnet,” “we,” or “us”). These Terms of Service are a legally binding contract between you and OpenDreamnet specifically regarding your use of the OpenDream Upscale website, application, and its related features (collectively, the “Service”). Please note that these Terms apply solely and exclusively to your use of OpenDream Upscale and do not govern your use of any other websites, products, or services offered by OpenDreamnet.

PLEASE READ THE FOLLOWING TERMS CAREFULLY: BY REGISTERING FOR AN ACCOUNT, PURCHASING CREDITS, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING OUR PRIVACY POLICY AND REFUND POLICY (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.

1. Service Overview

OpenDream Upscale is a platform designed to allow users to upscale and denoise images using advanced Artificial Intelligence. We provide an environment where users (“Users”) may upload images and process them using our integrated AI tools to generate higher resolution and sharper media.

2. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

3. Accounts and Registration

To access the features of the Service, you must register for an account. When you register for an account, you will be required to provide us with an email address and create a password. You agree that the information you provide to us is accurate, complete, and not misleading. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

4. Credits and General Payment Terms

The Service requires the use of on-platform currency (“Credits”) to process photos.

  • 4.1 Valuation and Pricing. Credits are purchased with real currency. The standard valuation is that 10 Credits are equivalent to $10.00 USD, though promotional packages or bulk pricing may be offered. OpenDreamnet reserves the right to determine and modify pricing for the Service and Credit packages at any time.
  • 4.2 Payment Processing. OpenDreamnet contracts with third-party payment processors to process payments submitted through the Service. You agree to provide accurate payment information and authorize us to charge the applicable fees to your designated payment method.
  • 4.3 No Refunds. ALL PURCHASES ARE FINAL AND NON-REFUNDABLE, except as explicitly defined in our Refund Policy. By creating an order and purchasing Credits, you explicitly acknowledge and agree to the following: "I understand and accept that the AI is not perfect so I will not request a refund for results that do not meet my expectations." Artificial Intelligence processing may occasionally yield unpredictable, imperfect, or undesirable results. We do not guarantee the quality, accuracy, or suitability of the processed images.   • 4.4 Delinquent Accounts. OpenDreamnet may suspend or terminate access to the Service for any account for which any amount is due but unpaid, or if a chargeback or payment dispute is initiated.

5. STRICT PROHIBITION ON ADULT AND OBJECTIONABLE CONTENT

OpenDreamnet maintains a zero-tolerance policy for adult content, sexually explicit material, and any content that violates the acceptable use policies of our financial partners and payment processors.

Uploading, processing, or attempting to process any of the following content is strictly prohibited and will result in IMMEDIATE account termination without the possibility of a refund, and may result in a report to appropriate law enforcement authorities:

  • (a) Adult Content and Nudity: Any sexually explicit content, pornography, or depictions of sexual acts. This includes photorealistic, stylized, animated, or cartoon depictions of nudity, genitalia, or sexual situations.
  • (b) Child Sexual Abuse Material (CSAM): ANY content involving minors (under 18) in any sexualized context or context that insinuates sexual intent. This includes "lolicon," "shotacon," or any stylized depiction of underage individuals in inappropriate situations.
  • (c) Non-Consensual Intimate Imagery: Content designed to remove clothing from individuals ("nudifying" tools) or utilizing the likeness of real individuals in sexual or compromising contexts without explicit consent (e.g., deepfakes).
  • (d) Extreme Violence and Gore: Depictions of human death, brutal violence, graphic injuries, torture, or animal abuse.
  • (e) Illegal Acts and Substances: Content promoting, facilitating, or depicting illegal acts, terrorism, human trafficking, or the use and sale of illegal substances.
  • (f) Hate Speech and Harassment: Content that promotes hate, harm, or extremist ideologies targeting groups or individuals based on race, religion, ethnicity, sexual orientation, gender, or disability.
  • (g) Payment Processor Violations: ANY content that jeopardizes our relationship with our payment processors, banking institutions, or hosting providers. We reserve the right to classify any content as a violation if it is deemed a risk to our operational stability or financial infrastructure.

6. Content Moderation and Monitoring

OpenDreamnet reserves the right to, and may from time to time, monitor any and all images uploaded to the Service to ensure compliance with these Terms. During monitoring, information and images may be examined, recorded, copied, and used in accordance with our Privacy Policy. If we determine, in our sole discretion, that an uploaded image violates these Terms, we will immediately block the content, terminate your account, and permanently forfeit any remaining Credits on your account.

7. User Content Ownership and Licenses

  • 7.1 User Content. You retain any copyright and other proprietary rights that you may hold in the original images you upload to the Service and the resulting processed images ("User Content").
  • 7.2 License Grant. By uploading User Content, you grant OpenDreamnet a limited, worldwide, non-exclusive, royalty-free license to host, store, transfer, and process your User Content solely for the purpose of providing the Service to you.
  • 7.3 Representations and Warranties. You affirm, represent, and warrant that: (a) you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to upload the images; and (b) your User Content does not infringe, violate, or misappropriate any third-party right, including any copyright or privacy right.

8. Intellectual Property Rights Protection

OpenDreamnet respects the intellectual property rights of others. If you believe that any content made available through the Service infringes an intellectual property right you own or control, please promptly contact us with a written Notification of Claimed Infringement containing: (a) an electronic or physical signature of the authorized person; (b) a description of the copyrighted work; (c) a description of the infringing material; (d) your contact information; (e) a statement of good faith belief; and (f) a statement under penalty of perjury that the information is accurate.

9. Prohibited Conduct

By using the service, you agree not to:

  • 9.1 use the Service for any illegal purpose or in violation of any local, state, national, or international law;
  • 9.2 violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including intellectual property rights;
  • 9.3 interfere with security-related features of the Service or reverse engineer any portion of the Service;
  • 9.4 interfere with the operation of the Service, including by uploading viruses or malicious code;
  • 9.5 perform any fraudulent activity, including initiating fraudulent chargebacks.

10. Modification of Terms

We may, from time to time, change these Terms. Please check these Terms periodically for changes. Revisions will be effective immediately upon posting. We may require that you accept modified Terms in order to continue to use the Service.

11. Term and Termination

  • 11.1 Term. These Terms are effective beginning when you register for an account or authorize a payment.
  • 11.2 Termination. If you violate any provision of these Terms, your authorization to access the Service automatically terminates. In addition, OpenDreamnet may, at its sole discretion, terminate these Terms or your account at any time for any reason or no reason, without notice or liability.
  • 11.3 Effect of Termination. Upon termination, your account will be disabled, and you will lose access to the Service, any uploaded photos, and any unused Credits. Unused Credits are non-refundable upon termination.

12. Indemnity

To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify OpenDreamnet, its affiliates, and their respective directors, officers, employees, and agents from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including attorneys’ fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Service; (b) your violation of any portion of these Terms, specifically including the upload of prohibited content; or (c) your violation of any third-party right.

13. Disclaimers; No Warranties

THE SERVICE, THE AI PROCESSING CAPABILITIES, AND ALL MATERIALS ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. OPENDREAMNET DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY OF AI RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS. YOU UNDERSTAND THAT AI UPSCALING IS PREDICTIVE AND MAY INTRODUCE ARTIFACTS OR ALTER DETAILS IN UNEXPECTED WAYS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL OPENDREAMNET BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE. THE AGGREGATE LIABILITY OF OPENDREAMNET TO YOU FOR ALL CLAIMS ARISING OUT OF THE USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID TO OPENDREAMNET FOR ACCESS TO THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
